GE Board of Directors Approves Spin-Off of GE Vernova; GE Vernova and GE Aerospace to Launch April 2, 2024

This afternoon, the GE Board of Directors formally approved the spin-off of GE Vernova, now slated for April 2. This date will also mark the launch of GE Aerospace, completing our transformation into three independent and investment-grade industry leaders.
“Today’s announcement clears the way for the historic launches of GE Vernova and GE Aerospace ... with GE Vernova positioned to lead the energy transition and GE Aerospace set up to define flight for today, tomorrow, and the future,” said GE Chairman and CEO and GE Aerospace CEO Larry Culp. “We all are excited about the opportunity and the responsibility ahead of us.”
Key info includes:
- GE Vernova is expected to spin off from GE on April 2, pre-market. Trading will start on the NYSE under the ticker “GEV”.
- GE shareholders as of March 19 will be entitled to receive one share of GE Vernova for every four shares of GE owned.
- Following the spin-off, GE shareholders will continue to hold their GE shares as GE Aerospace shares, which will continue GE’s listing on the NYSE as “GE”.
- GE shareholders do not need to take any action to receive their shares of GE Vernova common stock, nor to continue to hold their shares of GE Aerospace.

Starting March 27, when-issued trading for GE Vernova and ex-distribution trading for GE (to be known as GE Aerospace) will begin.
